THIS EVENT IS BY INVITATION ONLY

The Private Equity Counsel is structured as a small discussion-based group that is only open to the Private Equity community.  We are asking each firm to commit to be a charter member of this group for 1 year at a cost of 400 per year per firm.  Either yourself or another senior member of your firm will attend each meeting and we will establish a calendar whereby we meet once per quarter to network, discuss issues that we agree are relevant to our business and invite relevant speakers to present.  We would propose that going forward we meet the 2nd or 3rd Thursday in March, June, September, and November for cocktails and dinner, starting at 6pm and ending at 8:30/9pm. This will allow us to have an hour to network, an hour for dinner and a presentation, and thirty minutes to discuss topics of member interest.  Further, it would be an added benefit of membership that when any member has a question or issue, that they would email the entire group with their question and that all members could participate in an online discussion regarding their experiences as they relate to the question raised.  In this way, not only would we benefit from the quarterly meetings, but hopefully create a network that we can each utilize to identify and implement best practices within our firms in between meetings.

At the dinner, Caroline Blitzer Phillips and David Peck from Vinson & Elkins will present to the group on line of
equity transactions. The structure is common in the energy industry (starting with oil and gas and expanding to other areas such as midstream and oilfield services) and can be applied to other capital intensive industries or situations where the private equity fund wants to financially back a key management team to build a business. V&E will cover the basics of the transaction structure, what’s market with respect to economic terms in the energy industry and address the recent distress in the energy industry due to low commodity prices.
 
Caroline Blitzer Phillips is a Partner in the Mergers & Acquisitions and Private Equity Practice at Vinson & Elkins. She advises clients in mergers and acquisitions, private equity investments, and general corporate and securities matters. Caroline has substantial experience with clients throughout the energy industry, including oil and gas exploration and production, transportation and midstream, power, oilfield services, coal, and renewables and clean energy, as well as in other industries. She has advised on line of equity transactions in a variety of industries, including aircraft leasing, cell tower leasing, oil and gas, midstream and renewables.

David Peck is a Partner in the Tax Practice at Vinson & Elkins. He focuses his practice on the federal income tax aspects of complex domestic and cross-border transactions, with a significant focus on tax issues relevant to private equity funds, hedge funds and other pooled investment vehicles. David has advised numerous private equity funds on the formation, operation, and disposition of portfolio companies in a variety of industries across the globe. David frequently advises on the tax aspects of line of equity transactions for both private equity sponsors and management
teams, including many transactions in the oil and gas, power, infrastructure and renewables sectors.
