M&A Volume Remains Stable in 2011, Optimism for 2012?

M&A Leads Market Recovery

 

Transaction volume in the greater Philadelphia region continued to recover in Q4 2011 with 301 deals announced in the quarter - effectively level with Q4 2010. This is significant as it still represents a quarterly volume increase of 70% compared to the most recent market bottom (177 deals in Q1 2009). While there still remains a fair amount of uncertainty throughout the capital markets, the data points to stability; the number of transactions completed in the quarter essentially matched the strength shown last year and is in line with the most recent high water mark of 316 transactions set in Q2 of 2008.

For the full year, the greater Philadelphia region saw a very modest 2% decrease in total transaction volume with 1,338 deals completed in 2011 compared to 1,367 in 2010. Taking into consideration that 2010 deal volume was likely fueled by "intended" 2009 deals that were delayed into 2010, the stability shown in 2011 feels "real" and should be perceived as a genuine sign of strength in the market.

Total adjusted transaction value declined by 16% to $86 billion versus $102 billion in 2010.  The dip in deal aggregate value in conjunction with the stability in deal volume provides evidence that the lower middle market (sub $100mm deals) showed significant growth in 2011. In addition, this helps to confirm that 2010 growth was artificially inflated by larger deals and the real "rebound" for middle market M&A was felt in 2011.

Interview with: Darl Petty, Partner at Penn Mezzanine about the firm’s $3.25 million mezzanine debt investment in Ability Prosthetics & Orthotics.

ACG: Please describe Ability’s business.

Ability is headquartered in Gettysburg and operates as an allied healthcare provider of artificial limbs and orthotic braces to amputees and other patients.  Ability was founded in 2004 with a single location and today operates 11 practices, each of which is overseen by a full-time Certified Prosthetist, Orthotist, or a CPO (both certifications), as granted by The American Board for Certification in Orthotics, Prosthetics & Pedorthics. A 12th location will be opening in North Carolina this summer.

ACG: Was there a private equity sponsor involved in the transaction?

No, Ability is owned by its founding management team.  There are four key shareholders, all of who are full-time at the company. Two of the shareholders are CPO’s and a third is a CO who also has an IT/consulting background.  The fourth executive is an attorney by background who oversees the company’s contracts and other business matters outside of direct patient care.
