Our expert panelists provided this advice to advisors....in light of the mid year madness: "Keep calm and carry on. "

- Uncertainties in the economy and this late stage US equity bull market have created a "rush to market" momentum among privately held middle market businesses.

- Our panelists agreed that businesses need to have a high quality advisory team around then prior to the sale.

- Given the volatility in the currency markets and the sustained strength of the US dollar, Pat Guerrin discussed the importance of debt providers also advising their clients on hedging strategies.

- Lenders are preferring asset based loan structures for businesses that do not display revenue growth and profit growth.

- There is demand from foreign buyers for businesses in the ag tech, high tech and medical device sectors. Foreign buyers are increasingly sophisticated in their due diligence.

- Investment bankers value the work of CPAs. Too many middle market businesses rely on quick books when they should work with pros.

- Private equity investors want to see that any potential portfolio companies have an ERP system in place.

Gareth is a UK qualified Chartered Accountant based in F&L’s San Francisco Office, having recently spent six months on assignment with our US partner firm, EKS&H in Denver. Craig leads BPM's Transaction Advisory Group and has more than 15 years of experience with a focus in assurance and financial due diligence services. Craig has served start-up companies to Fortune 500 companies in the Venture Capital, Service and Technology industries.

He has extensive experience with Venture Capital funds. Hershel Gerson, BNP Paribas
Hershel joined BNP Paribas in 2014 as a Managing Director and Team Leader for the West Coast region within the Merchant Banking Group based in San Francisco. Prior to joining BNP Paribas, Hershel was responsible M&A and business development at a leading athletic event production company, OmniForce LLC (a portfolio company of Bregal Partners), and worked extensively with middle market companies operating in the health & wellness industry. Hershel achieved significant success but decided to join BNP Paribas based on its unique positioning in the middle market, which provided the resources to leverage his recent experience and industry background.

Before leaving to pursue his interest in the health & wellness industry, Hershel spent close to 10 years at Credit Suisse where he led the West Coast Retail and Consumer Group for three years. Prior to that role, he was a member of the Financial Sponsors group and covered a broad range of private equity firms on the west coast including including Anschutz Investments, Ares Capital, Friedman, Fleischer & Lowe, GI Partners, Golden Gate Capital, Leonard Green Partners, Oaktree Management, Swander Pace, Thoma Bravo, Vector, and Vista.

Hershel has advised companies across a broad range of strategic matters including leveraged finance, project finance, mergers and acquisitions, initial public offerings, private placements and general advisory assignments. Hershel executed transactions and advised companies such as Academy Sports and Outdoors, Anschutz Entertainment Group, Central Garden & Pet, Charming Charlie, Diamond Foods, Duckhorn Vineyards, Grocery Outlet, Gymboree Corporation, Herbalife International, Sportsman's Warehouse, and 3 Day Blinds. Patrick Gurin, Wells Fargo Capital Finance
Patrick Gurin is a Vice President and Business Development Officer for Wells Fargo Capital Finance in San Francisco, CA. He has worked for Wells Fargo Capital Finance for over 10 years where he provides comprehensive, asset-based financing solutions to facilitate M&A, recapitalizations, shareholder buyouts, working capital needs and turnarounds.

Since moving to San Francisco in 2012, Patrick has sourced, structured, negotiated and funded over 200MM in senior secured credit facilities supporting a wide variety of industries in the middle market.
