Join ACG 101 for a live panel discussion on the Current State of Private Equity and Middle Market M&A.

The panel will be led by Drew Simon-Rooke, Partner at Pillsbury Law, with a market overview given by David Bonrouhi of the investment banking firm, Calabasas Capital, as well as an update from the accounting firm HCVT.

Topics will include a 2024 M&A market outlook, recent trends in deal volume, valuation, deal structuring, availability of leverage, inflation, interest rates, and industry-specific deal dynamics.

Drew Simon-Rooke, Moderator

Drew focuses on mergers and acquisitions, private equity, capital markets, public company reporting and corporate governance matters. He represents public and private companies in buy side and sell-side M&A; emerging companies, startups and venture funds in connection with financings; and issuers and investment banks with equity and debt offerings. Drew’s clients are primarily technology companies, but also include companies in the financial, health care, infrastructure and other sectors. He has extensive experience advising private equity funds and their portfolio companies in a wide range of transactions, including mergers and acquisitions and strategic investments. Drew’s private equity representations have included: Ullico Infrastructure Fund, Primavera Capital Group, Silver Lake Partners, Hellman & Friedman, KSL Capital Partners, The Carlyle Group and DIF Capital Partners.

David Bonrouhi is co-founder and Managing Director of Calabasas Capital, a boutique investment banking firm that provides M&A advisory and private equity and debt capital raising for lower mid-market companies focusing on family-owned businesses. David has over 25 years of investment banking and private equity experience. He began his investment banking career at Merrill Lynch in New York and later worked in private equity for UnionBanCal Equities focusing on investments in middle market companies. David began his career as a CPA and tax consultant with Price Waterhouse in New York.  He holds Series 7, 63 and 79 licenses with Fallbrook Capital Securities Corporation (Calabasas Capital is a dba of Fallbrook Capital), is a licensed California CPA (inactive) and a licensed California broker. David has an MBA in Finance and Entrepreneurial Studies from UCLA’s Anderson School of Management, and a Masters in Tax and a B.S. in Accounting from Miami of Ohio.

Sid is a Managing Director and Partner in the firm’s Advisory Services practice where he leads the M&A Advisory team. He brings over 17 years of experience advising private equity sponsors and private and publicly held companies on matters pertaining to mergers and acquisitions. Sid and the M&A Advisory team guide clients through the intricacies of sell-side and buy-side transactions to achieve optimal outcomes. Their collective experience performing valuations, modeling, financial due diligence, tax, and accounting helps our team add value at each step of the process—pre- and post-deal. Sid has experience working across a wide range of industries, including consumer, food and beverage, retail, manufacturing, business services, and industrial. He also specializes in advising companies on brand intellectual property matters related to transactions and valuation. Prior to joining HCVT, Sid served as a director at Houlihan Lokey, a publicly traded global investment bank where he was a member of the Financial and Valuation Advisory practice which provides valuations and transactions advice to its clients. Earlier in his career, Sid held senior roles in corporate finance and advisory with Deloitte and Duff & Phelps, which is now Kroll. Sid earned a Bachelor of Commerce degree in Accounting and Finance from the University of New South Wales, Sydney, Australia. He is a Chartered Financial Analyst (CFA) charterholder and a member of the CFA Institute. He is also a Chartered Accountant (CA) and a member of the Institute of Chartered Accountants in Australia.

Erik joined Prospect Partners at its inception in 1998. As a Partner, he co-manages the operations of the firm, sources and executes transactions, and manages select portfolio company relationships. He has more than 28 total years of experience in finance and small company investing, and is right at home in the niche manufacturing, value-add distribution and specialty service marketplaces advising companies and working with their entrepreneurial teams.

Beforehand, Erik was a Commercial Banking Officer at Northern Trust Company working with lower-middle-market clients in Illinois and Wisconsin.

Erik holds a B.A. from Stanford University, and an M.B.A. from the Northwestern University Kellogg School of Management. He lives in Pasadena, CA and is married with two sons.

Jeremy joined the Riverside in 2010, when they recruited him to switch from executing deals to focusing on originating new investment opportunities in the Western US & Canada.  He has more than 25 years of private equity experience, across a range of industries and throughout the capital structure.  He began his private equity career with Buttonwood Capital Group immediately after completing his undergraduate studies.  Jeremy earned a B.S. degree in Finance from California State University Northridge.

Matt joined Century Park Capital Partners in 2014. He is responsible for the business development and deal sourcing efforts of the firm. Prior to joining Century Park Capital Partners, Matt worked for Dinan and Company, a merchant banking advisory firm, where he was responsible for actively identifying, originating and analyzing investment opportunities for private equity groups and corporate acquirers primarily in the industrials, healthcare services, consumer products, and business services sectors. Prior to Dinan and Company, he served as a Financial Advisor with Merrill Lynch. As part of a dynamic wealth management group, Matt provided a wide array of financial services to a select group of high net-worth individuals, families and businesses with significant investment assets. Matt holds a B.S. in International Finance and Trade from Georgetown University, Edmund A. Walsh School of Foreign Service.

Managing Director

Matt Smith serves as Managing Director at St. Cloud Capital. He serves as a Board Member at Catawba Research. He is responsible for sourcing, execution, and portfolio monitoring functions. Previously, Matt founded and managed the Structured Finance Group at Banc of California, which focused on the origination and structuring of senior credit facilities to middle-market companies backed by private equity. Prior to that, he worked in commercial banking and leveraged finance roles at various commercial banks and leveraged finance groups. He has served as an Observer on the Board of Directors of Pipeworks, Inc., and Aleracare Holdings, LLC. and currently serves as an Observer on the Board of Directors of Atomica Corp., AMP Security, LLC, and Catawba Research, LLC. He was also an Army officer and deployed in support of Operation Enduring Freedom in Afghanistan. He earned his MBA from the UCLA Anderson School of Management and BA in Economics and Political Science from UC Davis.
