Sponsorship Terms and Conditions

Association for Corporate Growth Chicago’s (“ACG Chicago”)  Sponsorship Terms & Conditions are below.   ACG Chicago reserves the right to cancel any Sponsorship with no refund if Sponsor does not conform to these Terms & Conditions.

There are two types of Sponsorships:  Chapter Sponsors and Event Sponsors.  Chapter Sponsorships permit Sponsors to allocate their benefits to specific events/activities.  Event Sponsorships apply to specific events only. Sponsorship benefits are as listed online and/or in the Sponsorship confirmation email/letter.  These Terms & Conditions apply to all Sponsorships, whether allocated or directed to a specific event. 

CANCELLATION POLICY:    Sponsorships are not cancellable.  

Date Changes/Force Majeure Policy: Sometimes dates of events need to be changed for a variety of reasons, in ACG Chicago’s sole discretion.   Also, ACG Chicago may need to postpone, cancel or modify a live event due to pandemic or another force majeure event.  Under these circumstances, ACG Chicago will work with Sponsor to move the Sponsorship to a new event date, or provide a make good in the form of an equivalent future Sponsorship opportunity.   If such circumstances arise ACG Chicago will inform Sponsor as soon as possible of the status of the event and review options with Sponsor accordingly.

NON-PAYMENT:  Sponsorship Fees are payable Net 15 days after receipt of the invoice.  All Sponsorship benefits are contingent upon payment.   ACG Chicago reserves the right to not allow Sponsor (or its representatives) to attend, set up at or participate in an event, or receive any Sponsorship benefits unless full payment has been received.   In the event ACG Chicago permits Sponsor to utilize table/event tickets or other Sponsorship benefits without payment, ACG Chicago reserves the right, in its sole discretion to bill Sponsor for full value of the Sponsorship, or the tickets and/or other benefit received.  Sponsor agrees to reimburse ACG Chicago for all reasonable costs and expenses (including reasonable attorney’s fees) incurred in the event ACG Chicago is forced to pursue payment of unpaid invoices, Sponsorship fees/benefits.

CONTRACT FOR SPACE: If an allocation of space applies to an event, the space will be provided within the contracted event location (the “Venue”) consistent with ACG Chicago’s agreement with the Venue, and all such terms and Venue conditions apply.

RESTRICTIONS IN USE OF SPACE: All activities must be confined to the limits of the space provided.

 Table top displays are limited to the table top surface and floor space immediately behind the table.

Due to fire codes and Venue rules, the following activities are prohibited:

Hanging/pinning of signage on the wall

Materials that extend into the walkways or beyond the defined space

Physical obstructions

Excessive noise (as defined by ACG Chicago) or interference with attendees.  Operators of noise-making exhibits must secure approval of operating methods before the exhibit opens.

ACG Chicago reserves the right to request that Sponsor remove or alter set-up onsite if it restricts or interferes with attendees, other exhibitors or events, or in the opinion of the ACG Chicago management, may detract from the general character of the event as a whole.  In the event of such restriction, ACG Chicago is not liable for any exhibit expense.

Sponsor shall not assign, sublet or share the whole or any part of the space allotted without the knowledge and consent of the ACG Chicago or without written approval of the terms of such arrangement.

Unless otherwise agreed in writing by ACG Chicago, no tables or chairs are included in the exhibit space fee; furniture may be available for rental at Sponsor’s expense.

FIRE PROTECTION: Decorations and display material must be flame proofed and are subject to inspection by the local fire department. If inspection indicates neglect to comply with these regulations, the ACG Chicago reserves the right to cancel all or such part of Sponsor’s exhibit.

INSTALLATION AND DISMANTLING TIMES: Specific set-up and tear-down times will be communicated to Sponsor. Sponsor will not be permitted to set up exhibits after designated time unless prior approval is received from ACG Chicago. Goods and materials used in the exhibit (except bona fide samples) shall not be removed from the exhibit area before the designated time unless a permit for removal is obtained. Sponsor agrees not to dismantle the exhibit or do any packing before the designated time unless a permit for removal is obtained. Any merchandise left in the area after removal deadline may be removed with storage/removal charges applied and will not be the responsibility of ACG Chicago or Venue. Any unclaimed items will be disposed of. Please allow time so you or your staff can retrieve shipped material and set it up in your assigned space.

CIRCULATION AND SOLICITATION: No circulars or advertising matter of any description (other than business cards and the like) may be distributed as part of networking at events unless you are Sponsor who has received prior approval from ACG Chicago.  Circulars or advertising matter of any description may be distributed only within the exhibit area assigned to Sponsor. Any firm, organization or individual not assigned space will be restricted from soliciting business in any manner within the event and exhibiting area.

LIABILITY AND INSURANCE: Sponsor shall indemnify and hold harmless the ACG Chicago,  Venue and attendees from all liability (damage or accident) that might ensue from any cause resulting from or connecting with transportation, placement, removal or display of exhibits. Sponsor is urged to insure itself against such risks of loss or liability. Venue and ACG Chicago cannot guarantee Sponsor against loss by theft or otherwise. Sponsor agrees to protect, save, and hold ACG Chicago and Venue and all agents and employees thereof (hereinafter collectively called Indemnities) forever harmless for any damages or charges imposed for violations of any law or ordinance, whether occasioned by the negligence of Sponsor, and further, Sponsor shall be fully responsible to pay for any and all damages to property owned by the Venue, its owners or managers which results from an act or omission of Sponsor or results from Sponsor’s participation in the event. Sponsor agrees to defend, indemnify and hold harmless Venue, its owners, managers, officers or directors, agents, employees, subsidiaries and affiliates, from any damages or charges resulting from Sponsor’s use of Venue’s property. Sponsor’s liability shall include all losses, costs, damages or expenses arising from or out of or by reason of any accident or bodily injury or other occurrences to any person, including Sponsor, its agents, employees, attendees and business invitees that arise from Sponsor’s participation in the event and use of the Venue. The exhibit area is not secure. Do not leave valuables unattended.

ADMITTANCE: Attendance is limited to Sponsor representatives who have been registered for the event and been provided event credentials.  Entry may be denied to any individuals not displaying conference credentials at all times.

RECEPTIONS/CATERED EVENTS/HOSPITALITY: Sponsor may not produce or promote meetings, receptions or catered functions that conflict with ACG Chicago programmed events. Invitations and company literature may only be distributed at designated exhibit space.

USE OF ATTENDEE LIST: In certain cases, Sponsor may be provided with an Attendee List provided that the attendee has not opted out of such communications.  Sponsor agrees that in utilizing the Attendee List, 1) it will comply with all applicable laws, including honoring any opt-outs that it receives; 2) it will use the Attendee List only in connection with sending a reasonable number of event-related communications; and 3) it  will not disclose, transfer, duplicate, reproduce, or retain any portion of the Attendee List in any form whatsoever, nor will it permit any third party, agent, employee or contractor of their respective agents and employees to do so.  Any additional usage is considered a material breach of this Agreement, and may be in violation of applicable privacy laws.   

WARRANTY:  Sponsor will comply with all applicable laws, including all applicable privacy and anti-spam laws with respect to its activities hereunder.  

TRADEMARKS:  Sponsor grants ACG Chicago the right to use its trademark and logo in all media in connection with ACG Chicago’s performance under the Agreement, including for promoting ACG Chicago and/or the sponsored events.  Sponsor will provide camera ready logos for ACG Chicago use.   

All points not covered above are subject to the sole discretion of ACG Chicago management.
