Dan Malone is a partner in the Corporate and Private Equity Practice Groups in the Denver office of Haynes and Boone. His practice focuses on complex business transactions for both private and public companies, with a particular focus on mergers and acquisitions, leveraged buyouts, and strategic investments. Dan has served as the lead lawyer on numerous transactions across the food and beverage, consumer products, financial services, technology, automotive and healthcare industries. In addition to his transactional work, Dan advises clients on a broad range of general corporate governance matters impacting their business. Dan is also the Administrative Partner and Hiring Partner for the Denver office.

Prior to joining the firm, Dan was senior counsel at The WhiteWave Foods Company (NYSE: WWAV), where he advised the board of directors, executive team, and senior leadership in the sourcing, evaluation, and execution of strategic transactions across all channels of the business, both domestically and internationally. During this tenure, he oversaw the company’s legal efforts on seven strategic transactions, highlighted by a $12.5 billion sale to Danone S.A., a $550 million acquisition of Vega, and the company’s first investment in Latin America.

Michael is an Executive Vice President and leads the Transactional Insurance Practice at CAC Specialty. He specializes in negotiating, placing, and advocating for coverage with respect to Representation & Warranty Insurance (R&W), Tax Indemnity/Liability Insurance, and Contingent Risk Insurance.

Michael’s experience includes placements of transactional insurance policies across a wide range of deal sizes and industries. These include, R&W placements in healthcare, energy, financial services, technology, and other industries; tax placements covering issues related to S Corp qualification, tax credits (investment tax credits and production tax credits), and internal reorganizations; and contingent risk policies for litigation and successor liability issues.

Kip Wallen is a Director with SRS Acquiom. He collaborates with clients and counsel to negotiate M&A documents including purchase, escrow, payments and other transactional agreements. Kip has broad experience in M&A and provides guidance on market standards pertaining to a wide variety of matters including earn-outs, holdbacks, escrows, expense funds, and purchase price adjustments.

Before joining SRS Acquiom, Kip was an attorney with a Denver-based boutique business law firm. He assisted clients with M&A transactions totaling over $1 billion in value as well as general corporate governance, securities offerings, compliance and real estate matters.
