Neil Carter

Neil is a Managing Director in the US Private Equity Group responsible for the origination, structuring, and management of the North American Private Equity investments.  Previously, Neil was at Fortress Investment Group for over 9 years, focusing on private equity and debt transactions across multiple industries.  Prior to Fortress, Neil was in the Consumer Retail Group at Goldman Sachs & Co focusing on M&A transactions.  Neil has a BS in Commerce from the University of Virginia McIntire School of Commerce and an MBA from the University of Virginia Darden School of Business.

Rett Peaden is a Partner in the Corporate Practice of Smith, Gambrell & Russell, LLP.

Rett’s practice focuses on helping his clients navigate the complicated process of mergers and acquisitions. In addition, he provides general counsel to business clients, advises them on ongoing transactional matters, and assists the owners of closely-held businesses with long-term succession planning.

With an advanced degree in taxation, Rett is well-versed in sophisticated tax strategies and entity structuring techniques that benefit his clients.  He regularly counsels clients on corporate, partnership, and related matters, including the negotiation and preparation of mergers and acquisitions agreements, the drafting of shareholders agreements, the formation of limited partnerships and limited liability companies, and the structuring of in-bound investment opportunities. In connection with advising the owners of closely-held businesses, Rett has developed a particular interest in the taxation of pass-through entities such as S-Corporations, partnerships, and trusts.

Coming from a family business background, Rett is sensitive to the concerns of business owners.  He always strives for effectiveness and efficiency in his representations and seeks to make sure that any “legalese” is explained in terms that lay persons can understand.  Rett has successfully worked with international and domestic clients in areas of technology, health care, architectural and engineering services, agribusiness and manufacturing.

Rett earned a B.A. degree in philosophy from Emory University in 2001.  He received a J.D. from Vanderbilt University Law School in 2006, and an LL.M. in Taxation from the University of Florida in 2007.

Wayne Pressgrove

Partner

Wayne Pressgrove is a tax partner in the Atlanta office of King & Spalding. He specializes in corporate, partnership, real estate, international and energy-related tax matters. Wayne advises clients on fund formation and acquisitions of portfolio companies by private equity funds, structuring of inbound foreign investment, real estate fund formation, and corporate acquisitions and dispositions. His fund formation practice focuses on the formation of open- and closed-end private investment funds, separately managed accounts and other investment vehicles. Wayne has represented private equity firms, investment managers and other sponsors of funds and investment vehicles covering numerous sectors and strategies, including buyout, infrastructure, energy and debt. Wayne also spends significant time on structuring domestic real estate and private equity investments for non-US investors. His real estate fund formation practice includes the formation and operation of REITs and UPREIT partnerships. He also advises energy clients on the structuring of oil and gas exploration and production projects, structuring and development of renewable energy projects and acquisition and disposition of all types of energy companies, both foreign and domestic. In practice for over twenty years, Wayne received his B.A. from Auburn University in 1992, his law degree from Vanderbilt University in 1995, and an LL.M. in taxation from New York University in 1996.

Jon Ziglar is CEO of ParkMobile, the leading smart mobility company in North America.  ParkMobile’s services have been adopted by over 10 million consumers and are available in over 350 cities, 120 universities, 150 event and sports venues and 20 airports across the US and Canada.  Jon brings a 20 year track record of driving and scaling consumer and business technology companies across multiple industries.  Prior to ParkMobile, Jon served as Managing Director, International, for Ceridian HCM, a leading provider of global human capital management software and services, overseeing a business which operated in over 50 countries, managing teams on 3 continents.  While at Ceridian, Jon also served as Chief Strategy Officer and Chief Corporate Development and Product Innovation Officer where he oversaw Ceridian’s US product portfolio as well as global mergers and acquisitions. 

Prior to Ceridian, Jon served as Sr. Vice President, Strategic Planning and Enterprise Development at Elavon, a leading global payments technology company. Early in his career, he worked in a number of enterprise and consumer-based software companies.  Jon started his career in investment banking in New York and San Francisco.

Mr. Ziglar is a graduate of Princeton University and holds a J.D. from the Emory School of Law, with a certificate in Technology Commercialization. He was a Senior Advisor to Barclaycard, and serves on the Board of Advisors of Roadie Inc. and Payscape, Inc..  He is a 2018 EY Entrepreneur of the Year award winner for the Southeast and is a member of the Atlanta CEO Council and the Young President’s Organization (YPO).  He lives in Atlanta, GA with his wife and five children.

Patrick Putman has twenty-five years of commercial banking experience in Atlanta with financial institutions of all sizes including both the largest and smallest banks in the state of Georgia. In 2010, Mr. Putman joined The PrivateBank as a Managing Director in the National Commercial Banking Division and was promoted to Head of Atlanta Commercial Banking in 2015. In 2017, CIBC acquired Chicago-based The PrivateBank to build its US Region and now has 46 offices in 18 states, as well as the ability to provide cross-border banking services to clients with North American operations. CIBC provides tailored commercial banking, wealth management, personal, and small business financial solutions Mr. Putman’s current responsibilities include the management, marketing and continued development of CIBC’s commercial and industrial loan segment across the Southeast.
