Josh Bier and David Ufheil from Riveron will be discussing best practices when navigating the complex separation process of a divestiture. Attendees will have the opportunity to discuss best practices and challenges they have faced when navigating a divestiture.

Josh Bier

Josh is a Director at Riveron with over 13 years experience, including 8 in Big Four public accounting.  He has extensive transaction experience representing both buyers and sellers through all phases of the deal cycle on 50+ transactions. Prior to joining Riveron, he served in Deloitte’s M&A Transaction Services Group where he performed financial due diligence. He began his career at Deloitte providing audit services to both publicly held companies and private entities, primarily in the financial services industry. 
Relevant Examples of Experience: Lead teams developing carve-out financial statements for several planned divestitures by a multinational Fortune 100 company, including assisting through the sell-side process, signing, and close. The carve-outs included multiple different business units with facilities in more than ten locations and revenues in excess of $5 billion.
Planned and executed sell-side deliverables in conjunction with the potential sale of several middle market companies. Assisted several private equity clients with buy-side financial due diligence in connection with potential acquisitions of over twenty companies in industries including transportation, automotive, business service, and distribution. Projects included several international acquisitions.
Executed the audits of public financial services companies and multiple private subsidiaries to ensure that financial statements were in accordance with GAAP.

Dave’s 28 years of experience in accounting and financial leadership roles include serving as auditor or advisor for companies ranging from venture-backed start-ups to large, multi-national public companies across a variety of industries including manufacturing, life sciences, automotive, consumer products, and technology. Dave is a subject-matter resource on accounting change and transaction-related accounting issues, including revenue recognition, leases, public equity and debt offerings, private-equity transactions, purchase price allocations, carve-out financial statements and GAAP conversions. Dave also has experience leading multi-national teams and working in many different countries, including 6.5 years on secondment in Frankfurt and Stuttgart, Germany.
Relevant Examples of Experience: Dave has assisted in numerous cross-border acquisitions and divestitures in the US, Germany and Japan. His experience covers most aspects of business combination accounting. He has led two carve-out financial statement projects for large US subsidiaries of German companies reporting under US GAAP. Additionally, he led all aspects of the purchase accounting project for a large accelerated filer in Minnesota.
Dave has participated in nine initial public offerings (IPOs) of equity securities in both the US and Germany, in addition to numerous debt offerings and securities registration statements. His experience includes assisting clients with interpreting Securities & Exchange Commission rules and regulations and providing advice with respect to pro forma financial statements, management’s discussion and analysis, and financial statement presentation and disclosures.
Dave has provided advisory services for seven public companies in their revenue recognition diagnostic projects and three public companies in their leases diagnostic projects. He has also provided numerous companies with insight sessions on the new revenue recognition and lease standards.
