Our next networking lunch event is all about ‘The use of forensics in M&A transactions’ and will be held on 24th April 2018. It is kindly hosted by Accuracy.

About the theme: It is challenging enough to identify, negotiate and purchase high value assets without having to worry about relying on inaccurate records, deliberate fraud or hidden risks such as exposure to illegal business practices within the target firm. The target management will naturally try to maximize their value as much as possible, perhaps crossing legal lines.

In specific sectors it may be hiding payments to officials which have led to winning government contracts, hiding accounting measures to reduce taxation or hiding business transactions with sanctioned countries or entities. These risks may not come to light until years after the acquisition leaving you exposed to financial and perhaps regulatory penalties.

Pre-acquisition, in-depth and almost investigatory analysis of the underlying electronic documents and records can reveal risks that the management are brushing over or attempting to hide.
