Banker Perspective on the Corporate Buyer

45 minute program, followed by 45 minutes of dedicated networking after the program

You’re invited to join peer corporate buyers from Detroit, Denver, Philadelphia and St. Louis for engaging small group discussions and insights into how corporate buyers are faring in today’s market.

As the M&A markets remain heated, we’re pleased to have seasoned investment bankers, who see a large volume of deal flow from the lower to upper middle market, discuss how corporate acquirers are competing and are perceived relative to their competition.

Discussion topics will include:

  • Corporate Buyer positioning relative to other market participants / buyers, including:
    • How corporate buyers are perceived by sellers and their bankers/advisors 
    • Where corporate buyers come up short and factors determining loss to other buyers
    • What corporates might do to better position themselves to win deals, specifically in auction processes
  • M&A functions we will explore include:
    • Deal sourcing – how to be proactive with banks; how to differentiate; how to establish acquisition criteria for today’s market – generally be more refined?
    • Diligence – timing, diligence focus areas and depth, seller requirements
    • Deal terms and structure – valuation, risk allocation, flexibility in structure, other considerations (e.g., mgmt. plans., post-closing obligations)
    • Ability to close – timing, certainty, consistency with indications
