Framework for Assessing Divestiture Candidates

Siran Tanielyan, Senior Vice President of Corporate Development at Paramount, will discuss the framework for assessing divestiture candidates, including:

• Best practices for identifying divestiture candidates, including strategic portfolio reviews, market assessments, and operator input;
• Assessing the operating implications of divestiture candidates, including scope of separation activities and need for transition services;
• Assessing the financial implications of divestiture candidates, including stranded costs, pro forma P&L, balance sheet and value impact; and
• Making the final go / no-go decision and getting buy-in from constituents.

About the Speaker

Siran is a seasoned M&A professional in the media ecosystem. In her role as Senior Vice President of Corporate Development at Paramount, she oversees merger, acquisition, divestiture, investment, and joint venture activity. Prior to joining Paramount (formerly Viacom) in 2014, Siran was an Executive Director at UBS Investment Bank focused on M&A and capital markets activity in the Media, Communications & Internet space.
