This panel will explore how artificial intelligence is reshaping the mergers and acquisitions landscape. From identifying opportunities and evaluating targets to conducting due diligence, structuring transactions, and creating value post-close. Bringing together perspectives from across the deal ecosystem, the panel will examine where AI is already making an impact, what types of AI tools are being implemented, where it is creating new risks and challenges, and what deal professionals need to consider as the technology continues to evolve.

 The discussion will feature perspectives from four key areas of M&A: implementation of AI tools, legal, investment banking, and transaction advisory services, providing a well-rounded look at how AI is changing the way transactions are evaluated and executed.

As a Partner in our Transaction Advisory Services practice, Rich Frizzell is dedicated to assisting clients who are buying, selling or merging a business. Rich leads an experienced team that coordinates and executes buy-side and sell-side financial due diligence engagements, quality of earnings (QOE) reports, and financial analysis for M&A clients. He has deep experience working with clients in a wide range of industries, including manufacturing & distribution, construction, architecture & engineering, and professional services.

Rich began his career at Gray, Gray and Gray - A Frazier & Deeter Company, in 2012 as a member of the firm’s Audit & Assurance practice group. This experience has given him a strong understanding of accounting and financial reporting for companies of varying sizes and stages of growth, which he applies to every engagement.

Rich is a cum laude graduate of Saint Anselm College, where he earned a Bachelor’s degree in Accounting. Rich also holds a Master’s degree in Accounting from Northeastern University. He is a member of the American Institute of Certified Public Accountants (AICPA) and the New England Society of CPAs.

Jeremy advises on mergers and acquisitions, private equity, venture capital transactions, independent sponsor deals, joint ventures and strategic alliances, enterprise-level commercial arrangements, and a broad range of intellectual property-driven transactions. When acting as an outside general counsel, he delivers practical, business-aligned guidance on corporate governance, commercial operations, and the transactions that support them, serving clients from emerging companies without in-house legal teams to large organizations with fully developed legal departments. His experience leading buy-side, sell-side, and strategic initiatives enables him to navigate complex transactions across industries, helping clients protect value, drive growth, and achieve strategic objectives.

He works with business owners to identify viable options at any stage of a company's lifecycle — from funding to fuel early-stage growth to exit planning at retirement.

Founded in 2019, Three Sixty Seven Advisors has completed approximately 85 transactions. The firm represents privately held, founder-led businesses through the sale process, with outcomes typically taking the form of strategic acquisitions, private equity add-ons, or private equity platform investments. The firm advises companies across a wide range of industries in the lower middle market, with transactions generally ranging from $25 million to $50 million in enterprise value.

Rick Hoffman is a Managing Director with over thirty years of experience providing consulting, expert witness, and business valuation services to clients involved in a very wide range of industries. Mr. Hoffman leads the national Litigation Support & Forensics practice for Marshall & Stevens. He joined Marshall & Stevens in 2023 with the acquisition of Lone Peak Valuation Group.

Mr. Hoffman works primarily in business valuation and litigation support, and has worked with calculating economic damages related to commercial litigation. He is a Certified Public Accountant, Accredited in Business Valuation and has hundreds of hours of additional training in the areas of valuation, litigation, and lost profit calculations. He has taught on the subject of damages and has testified in State Court, Federal Court, Arbitrations, and acted as Special Master.
