Mark’s main focus at Mangrove is transaction execution. Prior to joining Mangrove, Mark was an M&A and corporate transactional attorney for over twelve years. During his tenure as a deal lawyer, Mark worked extensively with private equity funds and their portfolio companies in connection with investment, M&A and financing transactions. Mark also frequently worked with entrepreneurs and middle market businesses in a wide range of corporate transactions, including investments by financial and strategic partners and liquidity events. Mark no longer practices law, but he continues to draw from this prior experience in his efforts at Mangrove. Mark holds a JD from American University, Washington College of Law (summa cum laude) and a BA from Bucknell University.

Eric is a Shareholder in the firm’s Corporate & Tax Group. He represents clients primarily in business combination transactions and other corporate matters. Eric’s experience includes advising public companies in connection with mergers and acquisitions, corporate governance, and securities reporting and compliance matters. He also advises privately-held companies and their owners with respect to mergers and acquisitions, corporate governance, entity formation and various other ongoing corporate and securities law matters. Eric has experience with clients in several different industries, including health care, technology, real estate, automotive and financial services.
Recent selected transaction experience includes:

  • Represented a target public company in a reverse merger sale to the U.S. subsidiary of a U.K. company in the institutional financial services industry;
  • Represented a privately-held company in a sale of substantially all of its assets to a subsidiary of a Canadian private equity group;
  • Represented a public company in the acquisition of substantially all of the assets of a strategic competitor;
  • Represented a NYSE MKT-listed public company in a negotiated tender offer sale to an acquiror in the aerospace industry;
  • Represented a privately-held company in the transportation logistics industry with operations in the U.S. and Canada in a sale of substantially all of its assets to a private equity sponsor;
  • Represented a private equity sponsor in an acquisition of a target company by reverse merger;
  • Represented a NASDAQ-listed public company in a negotiated tender offer sale to a U.S. subsidiary of a U.K. company in the health care equipment and services industry (a transaction awarded the M&A Advisor’s Healthcare/Life Sciences Deal of the Year (under $250MM));
  • Represented the portfolio company of a private equity sponsor in the sale of substantially of its assets to a strategic buyer; and Represented a NASDAQ-listed public company in a negotiated tender offer sale to the subsidiary of a strategic buyer.

Eric is a member of the Corporations, Securities & Financial Services Committee and the Chapter 607 Subcommittee of the Florida Bar’s Business Law Section. He is also a member of the Florida Bar’s Tax Section, and a Past-Chair of its National Tax Moot Court Competition. Eric is also a member of the Business Law Section and Tax Section of the
American Bar Association. Outside of the office, Eric is a member of the Board of Directors of Champions for Children, a Tampa Bay not-for-profit corporation that builds stronger families in the Tampa Bay region through its child abuse prevention and family education programs.

Reid is a Shareholder in the firm’s Corporate & Tax and Healthcare Groups where his areas of practice include corporate, securities, healthcare and franchising law. He advises clients in a wide range of areas including general corporate and business-related matters, mergers & acquisitions, private equity and other types of corporate finance transactions, succession planning, equity-based compensation, healthcare-related transactions, and healthcare regulatory issues. 

Reid represents early-stage and middle-market companies in a wide range of corporate, transactional and other business matters.  He advises start-up and smaller companies from formation and early-stage development, through growth and capital raising, acquisitions, joint ventures and other transactions, and succession planning.  His healthcare practice includes corporate and transactional matters, as well as Stark, anti-kickback, state and federal licensing, and other regulatory issues. Reid represents clients in diverse industries, including healthcare, manufacturing and distribution, financial services, technology, real estate development, restaurants, hospitality and private utilities. 

In addition to his Bar memberships, Reid is involved in numerous business and civic activities.  Reid is a member of the Board of Directors of the Association for Corporation Growth (Tampa Bay Chapter).  Reid also serves as Chairman of the Advisory Board for The University of Tampa's Lowth Entrepreneurship Center, and he is a past member of The University of Tampa Board of Trustees and is a member of The University of Tampa Board of Fellows.  Reid is also past chair and sits on the Cabinet of Leadership Tampa Alumni and helped found the Florida Institute of Chief Financial Officers.

I have been working in the professional lines insurance industry since 2005. Most recently I joined RT ProExec to develop, create and manage several professional liability programs, including Public Officials Liability, Representations and Warranties insurance and other developing programs. My focus is to increase the knowledge base for these lines and provide exclusive programs for use by RT Brokers countrywide.

My main responsibilities include product knowledge and dissemination to the ProExec team, develop profitable and exclusive programs for distribution through out RT and assist our clients with this and other product lines of coverage day to day.

Prior to that, I was a member of the tKgpro team at The Keating Group. In that role I am responsible for growth and development of the Professional Liability lines of coverage.
Prior to that I was at DeCotis Insurance Associates, Inc as a Senior Account Manager responsible for handling all Professional lines for the company.
Previous to DeCotis, I was underwriting with Hiscox USA as an Assistant Vice President for the Northeast region. This last role included a variety of duties but focused on product development and underwriting lines of coverage such as D&O, Public Officials Liability, EPL, Fiduciary, Crime and Employed Lawyers.
