Kim is a partner in the Vorys Cincinnati office, specializing in mergers and acquisitions.  For the last 25 years, she has focused her practice on providing practical corporate advice to public and private companies, including strategic buyers and private equity, across a range of industries.  Kim's practice revolves around delivering comprehensive legal counsel to her clients, encompassing areas such as banking, securities, franchising and general corporate matters.  She provides strategic guidance and representation throughout the entire spectrum of corporate legal matters, including mergers and acquisitions, contract negotiations, and public and private securities offerings.  Kim has been recognized by various publications for her exceptional skills in navigating complex transactions.  She leverages her deep understanding of legal intricacies, regulatory frameworks and market dynamics to safeguard her clients' interests and facilitate successful outcomes.

  • Representing Jones Fish Hatcheries & Distributors in its growth strategy with a private equity firm and subsequent strategic growth acquisitions
  • Representing the Sherwin-Williams Company in its acquisition of Tennant Coatings, a national cleaning equipment and coatings systems manufacturer
  • Representing the Sherwin-Williams Company in its acquisition of Randolph Products, a manufacturer of military specification and general industrial products
  • Representing a private technology company in the sale of a majority of its interests to a private equity firm
  • Representing First Defiance Financial Corp. in its $70.3 million acquisition of Commercial Bancshares
  • Representing a public Midwest regional financial services holding company in its private placement of $40.0 million with follow-on $5.0 million rights offering
  • Representing public company clients in initial public offerings, going private transactions, corporate disclosures, and Securities and Exchange Commission compliance and reporting

Katlin Rust is an experienced transactional attorney whose practice focuses on the mobility industry. She has broad experience representing clients on a variety of transactions, including supply agreements, contract manufacturing agreements, joint ventures and other collaborative development relationships, complex commercial contracts, and corporate governance and intracompany related matters. Katlin has extensive experience in the automotive and aerospace industries, including advising clients on issues related to supply chain and manufacturing matters, electric vehicles and charging infrastructure, autonomous vehicles, purchasing and procurement, and operations support.

  • Advises automotive and aerospace industry clients regarding contracting structure and terms for purchase of direct parts and raw materials, manufacturing machinery, parts and components, plant operations support, and services agreements.
  • Represents leading automotive manufacturer in connection with transactional matters associated with the operation, deployment and commercialization of its hydrogen fuel cell business.
  • Represents leading automotive manufacturer in connection with the planning, opening and operation of Toyota Battery Manufacturing, Inc., an electric vehicle battery manufacturing plant.

Kirsten oversees the sophisticated portfolio scenarios of a wide range of clients, including business owners, executives, successful individuals and their families. She serves as their advocate, guiding them in formulating comprehensive strategies which seek to optimize andpreserve wealth for generations to come.
Kirsten works closely with clients to learn about their most important long-term goals and aspirations. She draws on her capital markets background—on both the institutional and private wealth sides—to design portfolio approaches that align with their objectives and evolve through all stages of their financial lives. Kirsten delivers the firm’s intellectual strength, as well as alternative investments and private markets not commonly available to individuals. She brings a big-picture perspective to articulate market dynamics and answer questions in simple terms clients understand.
Having worked two jobs each semester during her college career, Kirsten is no stranger to the value of hard work. She believes a customized wealth plan is the key to transforming one’s efforts into a rewarding quality of life. Kirsten began her career at Fifth Third Bank, developing strengths in financial analysis, portfolio modeling and investment strategy. Now at J.P. Morgan, she is excited to be working closely with the individuals on whom she is having an impact.
Kirsten graduated cum laude from Xavier University’s Williams College of Business with a B.S. in Finance and a minor in Economics. As an undergrad, she was involved in making strategic recommendations for a graduate-level, student-run investment fixed income portfolio that managed a portion of Xavier’s endowment. Kirsten received her CFA® charter in November of 2023 and is a member of CFA Society of Cincinnati, Association for Corporate Growth (ACG) and Xavier’s Finance board of executive advisors.
Kirsten is a coffee-lover and spent five years as a barista, fueling her passion for ways the industry can offer economic empowerment, particularly for women in underserved populations. As an avid runner and cyclist, she has completed five marathons and three triathlons.
