Like the rest of the world, COVID 19 has injected uncertainty into the M&A market over the last three months.  As the world begins a slow and uncertain march towards the “new normal” there are some important trends beginning to emerge.  Join our esteemed panel of experts as they discuss the pandemic’s impact on Business Development, Deal Structures, Valuations, Due Diligence, Capital Markets and what it might mean for your next transaction.

Allison represents privately-held companies and private equity firms in both distressed and traditional mergers and acquisitions, as well as providing clients advice and counsel on various legal matters particularly in the finance, insolvency and restructuring areas.  In the insolvency area, Allison represented the State of Michigan during the historic City of Detroit bankruptcy case, focusing on the transactional aspects of the case, including “Grand Bargain”, the State Contribution Agreement and the Income Stabilization Program. 

Allison has been recognized in Super Lawyers (2010-2020) and is a member of the State Bar of Michigan, the American Bankruptcy Institute and the Turnaround Management Association.  She received her B.A. from the University of Michigan, her M.S. from Cleveland State University, Levin College of Urban Affairs, and her J.D. from Wayne State University Law School. 

Heather Madland

Huron Capital
Principal

Heather leads Huron Capital’s business development and investment sourcing activities.  She has 20 years of experience originating, structuring, and executing debt and equity transactions in the middle market.  Prior to joining Huron, Heather was responsible for all West Coast new business development for SPP Capital Partners, a NY-based investment bank. She also served as Vice President and Team Leader of Middle Market Banking at Comerica Bank in San Francisco and has also held roles at CIT Sponsor Finance and Madison Capital Funding LLC where she focused on originating and structuring leverage finance products for private equity clients.

Heather serves as Board Member of the Detroit Chapter of the Association for Corporate Growth (ACG), is the Founder and past Chair of the ACG Detroit Women’s Forum, and was co-chair of the 2019 ACG Great Lakes Capital Connection conference.  Heather is also board member and advisor of Friendship Beverage, a Minneapolis-based beverage company.

She received a B.A. from Cornell University.

Vincent Mercader, ASA

Vincent is a Director in the Detroit office of BDO, supporting the Valuation & Business Analytics practice. He has approximately 18 years of consulting experience providing valuation, financial, and litigation consulting services across a diverse group of industries, including but not limited to automotive, consumer products, construction, financial services, gaming, healthcare, life sciences, manufacturing, sports franchises and technology. His responsibilities include performing valuations for purposes related to buy-sell side advisory, litigation matters, tax planning, and financial reporting analyses.

Prior to joining BDO, Vincent was with Grant Thornton’s Corporate Value Consulting Group for 8 years in their Detroit office. Prior to that, Vincent spent 4.5 years with Deloitte’s Financial Advisory Services Group performing valuations based out of their Chicago office.  Vincent also spent 2 years with Navigant Consulting analyzing internal operations and valuing potential damages related to business interruption matters, negligence claims, and post-acquisition & shareholder disputes. Lastly, Vincent started his career with Merrill Lynch’s Business Financial Services Division analyzing debt feasibility for finance origination, facility restructures, and renewals for existing obligations.

Clayton is a Senior Vice President for PNC Business Credit where he focuses on financing LBO's, dividend recapitalizations, ESOPs, high growth, turn-around's and cyclical businesses seeking flexibility and durability. He has spent nearly 16 years in Banking and finance but has also gained considerable experience serving as Vice Chairman of the Board for Waseyabek Development Company (a tribally owned economic diversification company) and as Managing Director for DWH, LLC a boutique Financial Advisory firm focused on M&A growth and succession strategies as well as turnaround and restructuring strategies. Clayton earned his bachelors of science in Accounting from Western Michigan University’s Haworth College of Business and his MBA from Wayne State University’s Mike Illitch School of Business.
