In recent years, Independent Sponsors (a/k/a fundless sponsors), have gained traction in the M&A market and become more prominent in generating and closing on middle market deals.  Our expert panel will discuss the evolution and drivers of this trend, including, what differentiates an Independent Sponsor from a “finder”, the value an Independent Sponsor may add, typical funding sources and deal terms for Independent Sponsors, and the challenges Independent Sponsors face in securing and closing on middle market transactions.

Kurt L. Haras has over 17 years of investment banking experience advising clients on mergers and acquisitions, private placements, public offerings, corporate restructurings and business valuations. His transaction experience includes representing private companies, private equity firms and public companies in domestic and international transactions involving a number of industries, such as business services, consumer products, environmental services, distribution, industrial manufacturing and technology.

Prior to joining Quarton, Mr. Haras spent nine years at W. Y. Campbell & Company where he was involved in over 70 M&A transactions and debt and equity placements. Mr. Haras also served as an officer in the investment banking department at Oppenheimer & Co. and worked in the Corporate Value Consulting practice at PricewaterhouseCoopers LLP.

Mr. Haras graduated from Michigan State University with a B.A. in Accounting and holds an M.B.A. with distinction from the University of Michigan. Mr. Haras is a certified public accountant and is a licensed securities representative, holding his Series 63 and 79 registrations.

Mr. Haras is married and has three children.

Steve Ellis has been involved in the buyouts of both healthy and distressed companies and has grown and built value within these in his 25-year plus career. He is the founder and Managing Director of Stratford-Cambridge Group, which utilize his entrepreneurial spirit and managerial and operational skills to build value within its portfolio companies. Steve was President and majority owner of BEHCO, Inc., an industrial distribution and manufacturing company until its sale and he remains an advisor to the company.

Steve is currently on the Board of Directors of the Detroit Chapter of the Association for Corporate Growth (ACG), is an active member of the Society of Manufacturing Engineers (SME) and The Alliance of M&A Advisors (AMAA), has served as President and Chairman of the Board of the Fluid Power Distributors Association (FPDA) and has also held board and equity positions in various companies. He has a Bachelor of Science degree from Lawrence Technological University and has completed the Private Equity & Venture Capital program at Harvard Business School.

Charles G. “Chip” McClure serves as Managing Partner of Michigan Capital Advisors and has more than 35 years of experience in the transportation industry. Prior to founding Michigan Capital Advisors, McClure served as Chairman of the Board, CEO and president of Meritor, Inc. from 2004 through 2013.

From 2002 through 2004, McClure served as CEO, president and member of the Board of Federal Mogul Corp. McClure joined Federal Mogul in 2001 as president, COO and a member of the Board. Before joining Federal Mogul, McClure served as president, CEO and a member of the Board of Detroit Diesel. He joined Detroit Diesel in 1997 after 14 years in a variety of management positions with Johnson Controls, including vice president and managing director of the company’s European and South African operations during which time he was located in Dusseldorf, Germany. McClure later became president of the company’s Americas region.

He also previously held management positions at Hoover Universal and Ford as a heavy –duty truck sales engineer and field service engineer. From 1975 until 1979, McClure served as an officer on a U.S. Navy destroyer. McClure holds a bachelor’s degree in mechanical engineering from Cornell University and a Masters of Business Administration from the University of Michigan.

In 2007, McClure was named “Legend CEO” by Automation Alley—a business technology consortium in southeastern Michigan and in 2010, he was recognized as one of Northwood University’s six nationally known business leaders. In 2011, Crain’s Detroit Business ranked McClure as one of Detroit’s Most Powerful People and in 2015, as one of the Hundred Most Connected People in Southeastern Michigan.

McClure currently sits on the Boards of DTE Energy, Penske Corporation, 3D Systems and Crane Company. He is an Ex-Officio member of the Executive Committee of the Detroit Regional Chamber of Commerce and a past Chair of the Chamber. Additionally, McClure is a member of the Board of Trustees of Henry Ford Health Systems, Board of Directors of Invest Detroit and a member of Business Leaders for Michigan. He was previously a member of the Business Roundtable and National Association of Manufacturers.
