Overview

The Employee Retention Credit (ERC) is a refundable payroll tax credit for wages paid and health coverage provided by an employer whose operations were either fully or partially suspended due to a COVID-19-related governmental order or that experienced a significant reduction in gross receipts. The ERC is applicable from March 13, 2020 through September 30, 2021 and may allow employers that received PPP loans to qualify for the ERC with respect to wages that are not paid with proceeds from a forgiven PPP loan. Due to the complex ownership structures of PE portfolio companies, special considerations must be evaluated on a facts-and circumstances basis to determine whether other portfolio companies directly or indirectly owned or controlled by the fund may need to be considered in determining eligibility for the ERC.
