A Four Part Series on Tech Trends from the Silicon Valley to the Silicon Hills - Part Two: SPACs, IPOs and Resulting Cultural Changes
 
This web-series is presented by ACG Austin/San AntonioACG Silicon Valley, & ACG San Francisco

In this session, we will discuss:

  • The different paths to going public (IPO’s, SPAC’s, , and a look at the current SPAC boom
    • Discuss the different go-public strategies (We’ll do this as a ~5-10 minute overview with slides to kick off the event, then transition that into the first panel topic)
    • The benefits and drawbacks of being a public company and the benefits and drawbacks of the different paths
  • What makes a company attractive to investors
    • Building out your infrastructure / human capital
    • Identifying needs and creating a recruiting plan
    • Compliance, Labor law, workers comp
    • Policies and HR
    • Include discussion on diversity & inclusion (in general, focus on board / management diversity, and impacts to companies as they have to become more market facing)
  • Changes in culture – how to retain the Company’s mission, ingenuity and overall ‘vibe’

Kelley began her HR career in 1990 and has experience working in a variety of industries and organizations. Her career has been focused primarily on employee relations, compliance, leaves of absence, disability, and organizational metrics. Kelley has an MBA and holds the designations of Senior Professional in Human Resources - California, and Senior Certified Professional. During her career, Kelley has taught the 12-week Professional in Human Resources and the Senior Professional in Human Resources certification course for the Human Resources Certification Institute’s certification test hosted by the Society of Human Resource Management’s San Diego chapter, served as an item writer and reviewer for the HRCI certification test content, and has served on two not-for-profit boards.

Craig Lilly’s practice focuses on complex cross-border and domestic acquisitions, divestitures and joint ventures. Mr. Lilly has wide ranging experience in advising strategics and private equity clients on a wide variety of transactions including stock and asset acquisitions, divestitures, recapitalizations, consolidations, auctions, leveraged buyouts and distressed investments. His practice focus includes strategic investments, corporate governance and advising boards on innovative investment structures.

Mr. Lilly also represents fund sponsors in connection with structuring and organizing investment funds and investment vehicles. He also provides transactional and general corporate advice to portfolio companies.

Phil Ilgenstein, CPA, has more than 15 years of experience providing audit and assurance services for a wide variety of clients, ranging from small venture capital and private equity–backed startups to Fortune 200 and multinational corporations. Phil’s clients have operated in industries including semiconductor design and manufacturing, telecom, heavy and industrial equipment, general manufacturing, software, oil and gas (primarily upstream exploration and production), consulting, fund management and real estate. He has extensive experience in providing audit and assurance services for SEC registrants including integrated audits, mergers and acquisitions, IPOs and various other debt and equity offerings.

Phil is a member of the American Institute of Certified Public Accountants (AICPA). He earned both a bachelor’s degree in accounting and a master’s degree in finance from Texas A&M University, and is involved in several professional and community service organizations in his hometown of Austin.
