In case you missed it, here are some takeaways from the panel discussion:

1) Careful preparation is essential for a successful corporate sale.

 

2) Don't wait to prepare, M&A opportunities can arise suddenly without warning.   Start at least a year in advance of any possible transaction.

 

3) Preparation costs time and money, but often creates value even if there is no M&A transaction.

 

4) Key areas of preparation focus include:  Management team depth (build a "strong bench"), accounting and financial reporting systems, taxes, minority shareholders, and "dashboard" reporting systems that track the pulse of the business.

 

5) A growing trend is for sellers to prepare a "Quality of Earnings" (or "QOE") report before starting a sale process (a QOE report, usually commissioned by a buyer, analyzes a company's financials in-depth, including the quality of financial control systems, and furthermore analyzes the impact of certain adjustments to financial results such as one-time gains or losses and expenses not expected to continue under new ownership).

Directly prior to Tatum, Terry led the Bay Area Private Equity practice for ADP's middle market business unit, Major Accounts. He and his team delivered a value creation model to Private Equity, Venture Capital and Hedge funds through their portfolio. By leveraging Human Resources BPO (Business Process Outsourcing), the practice helped drive fund performance, shorten TSA periods and bring speed to post-close integration - resulting in half to a full point of EBITDA performance, across the portfolio. As the operating General Manager of a lower-middle market consulting firm, Terry achieved almost 5x EBITDA growth in 4 years, driving utilization rates from less than 50% to roughly 90%. Terry's M&A experience includes both buy-side and sell-side transactions totaling $6B+ of enterprise value in the consumer, healthcare, and technology sectors.

Kris has spent his entire career at Moss Adams, starting in 1989 in the firm’s Seattle office before transferring to our San Francisco office. There, he started the firm’s Technology Practice in the Bay Area and led the Bay Area’s Manufacturing & Distribution and Retail practices. Today, Kris provides assurance and business advisory services to both public and private companies in a variety of industries. His close, hands-on approach to client relationships enables him to effectively and creatively advise clients on a wide range of business matters. Eitan joined CSG in 2008 after thirteen years at GE Capital, where he most recently was Senior Vice President of its Media, Communications & Entertainment unit. During his tenure at GE, he held senior positions at various groups, including Structured Finance, Capital Markets, Global Sponsor Finance and Commercial and Industrial Finance.

Prior to joining GE, Eitan was the founder and CEO of Access Credit Corporation, an equipment finance company specializing in municipal leasing, maritime finance and advisory services, which he later sold. He was also the Executive Vice President of a sister company, Access Leasing Corp. where he co-developed a residual option product and was actively involved in acquiring options in excess of $1.5 billion of original value. During his thirty years of experience in the financial services industry, he has been actively involved in M&A, recapitalization, acquisitions and restructuring transactions, in providing senior debt, junior capital and equity to middle market and large corporations.
