A look at the environmental, legal operational, and financial hurdles real estate on M&A transactions.

This panel will highlight best practices to follow when evaluating the real estate involved with an M&A transaction. Some of the topics to be covered include environmental liabilities, cost optimization strategies, structuring of debt, disposition and sale of assets, sale/leaseback options, and overall ownership structures. Speakers will address some of the challenges they have seen over their careers in the real estate space and also a way to avoid such challenges.

Dan Duggan is a vice president with Southfield-based Bernard Financial Group, Michigan’s largest commercial mortgage banking firm.

His career in real estate started in the media world. He was editor-in-chief of a commercial real estate newspaper in Chicago prior to overseeing all real estate coverage for Crain’s Detroit Business in Detroit. He left the world of writing about deals to join the world of doing deals as he transitioned to commercial real estate finance.

At Bernard Financial Group, Dan originates commercial lending on real estate transactions that span from hotels to industrial. He works with local banks and large national lenders to make sure his clients get the funding needed for a deal.

He is a graduate of Michigan State University and lives in Troy with his wife and three children.

Patrich has represented several million square feet of multi-market corporate and institutional investment real estate transactions that have resulted in thousands of high-tech and manufacturing jobs and millions in capital investment. His strict attention to detail translates into significant savings of time and money, mitigation of risk, and increased flexibility for our clients. He enjoys working on challenging projects that require creative thinking and problem solving to achieve a successful outcome.


In 2011, Patrich established the Automotive Solutions Group within Colliers International after completing a number of substantial transactions related to the automotive industry. He has become the “go to” subject matter expert at Colliers International for global automotive real estate as demonstrated on his team’s client roster.

His team focuses on multi-market: Corporate Tenant Representation; Site Selection and Incentives; Evaluation of Lease Options / Lease Restructuring; Portfolio Management/ Optimization; Project Feasibility Studies; Built-to-Suit Projects; Project Management; Workplace Strategy; Institutional Investment Acquisitions; and Sale-Leasebacks.

Patrich has a background and education in finance, previously working as an executive banker and as a corporate tenant advisor at Grubb & Ellis before joining Colliers International. This experience has provided him a distinctive edge in understanding his client’s real estate needs.

Patrich lives in Ann Arbor, Michigan with his family; Tracy, Mason (11), Connor (10), and Maya (10) and two dogs Winston and Rocco. He enjoys traveling, long distance running, and fine wine and food. Patrich also donates his time to various charities and organizations.

Matthew Mason spearheads Conway MacKenzie’s Real Estate industry vertical. He is accomplished in assisting institutional clients, lenders, and private investors with distressed real estate and has served as a court-appointed Receiver for more than 200 retail, office, multi-family, and mixed-use projects. He has significant expertise with large retail and office assets, including enclosed regional malls, multi-state portfolios, and open-air lifestyle centers throughout the country. Mr. Mason has extensive experience with acquisitions, dispositions, and lease negotiations, having completed 14,000,000 square feet of leases with a value in excess of $885,000,000.

Mr. Mason earned his Bachelor of Arts degree from the University of Michigan and his J.D. from Western Michigan University’s Cooley Law School. He is a member of the Michigan State Bar with membership in both the Real Property and Business Law sections, as well as serving on the Creditor/Debtor Rights, Commercial Leasing and Management, and Commercial Real Estate Finance committees. His professional affiliations include the prestigious designation as a Certified Commercial Investment Member (CCIM) and membership in the CRE Finance Council (CREFC) and the International Council of Shopping Centers (ICSC).

Beth Sexton is the National Due Diligence Manager for PM Environmental, Inc.

Ms. Sexton has over 15 years of experience performing environmental due diligence on a variety of properties for financial institutions and borrowers. As the National Due Diligence Manager, Ms. Sexton is in charge of managing all aspects of PM’s 3,000 to 4,000 annual transactional due diligence projects, coming in from over 15 PM offices.

Ms. Sexton is a Michigan native with a Bachelor Degree from Michigan State University and a Master of Science from University of Michigan.
