Andrew Hulsh advises leading private equity and venture capital sponsors, established publicly-held and private companies and emerging growth companies in a broad range of complex domestic and international transactions. Over the course of his career, Andrew has led several of the world’s most recognized mergers, acquisitions, public offerings and fund formation transactions.

Clients benefit from Andrew’s unique and extensive experience in leading M&A buyout transactions, growth equity investments and early-stage investments on behalf of financial sponsors, their portfolio companies and strategic buyers, combined with his understanding of complex investment fund structures gained through his experience with forming numerous private equity and venture capital funds. Andrew’s transactional practice focuses on representing clients in connection with domestic and cross-border mergers and acquisitions involving private and publicly-listed companies; growth equity investments; venture capital investments; shareholder activist matters; and capital markets transactions involving initial and secondary public offerings and private placements of equity and debt securities. His investment funds practice involves the formation of private equity and venture capital funds. In addition, Andrew has an active practice that is focused on representing emerging companies in connection with capital-raising transactions through the offering of equity, debt and hybrid securities, mergers and acquisitions, joint ventures, licenses, incentive compensation arrangements and other commercial matters.

Andrew has considerable experience with transactions involving financial sponsors, other investors and companies based outside of the United States, including throughout Europe, Israel, Latin America, the Russian Federation and Asia. He has substantial experience with clients engaged in, and with transactions involving, a number of industries and sectors in particular, including health care and life sciences, technology, alternative energy, telecommunications, business services and aviation.

Andrew is a regular contributor to leading news and information sources such as CNBC, The Wall Street Journal, Bloomberg News, Buyouts, Dow Jones Newswire, Law360, Thomson Reuters and The Deal, and he has written numerous articles on selected issues involving private equity, M&A, board fiduciary duties and asset management that been published in premier books, journals and periodicals.

Before joining Troutman Pepper, Andrew served as co-leader of the North American private equity practice of a prominent international law firm.
