This ACG New York Private Equity RoundTable is a quarterly meeting that hosts speakers to address topics that provide services and information designed to help PE firms operate their business (regulatory, management assessment techniques, sales performance improvement, developing strong investor relationships, fund raising, etc.). It is not designed to cover areas of interest in the Business Development Sector or Financial Controls. ACG NY provides other venues for these latter two disciplines.

 
These meetings are open only to Private Equity Firms and subject the following criteria: North American funds  with Committed Funds in excess of $100mm. Attendance is limited to one member from the PE firm at the Partner/ MD level who has firm wide responsibilities that may include Business Development but NOT exclusively Business Development Membership is on an annual basis and limited to 30 members.

This RoundTable session will discuss the myriad of tax issues that may or will affect Private Equity firms going into 2022 and beyond. The focus will cover not only carried interest, but also offsets, loans to fund individual GP member investments and how they may be taxed in the future (ordinary or capital gains treatment), and overall issues for GPs under the proposed new tax laws. We will also discuss the proposed reform in the context of the value technology can have in understanding future tax impact. Technology now plays a pivotal role in delivering tax efficiencies and savings, whether that be to the bottom line or impact achieved through digital transformation for tax.

Dave brings over 20 years of client and industry perspective to co-lead the development and delivery of PartnerSight, RSM’s enterprise tax compliance software for partnership tiering and allocations. Dave uses his deep market experience to identify technology enabled opportunities for the US and Canada.

Dave consults with partnerships and organizations with partnerships in their structure to analyze and optimize people, process, technology, and data in the tax compliance process.

Prior to joining RSM, Dave was at a Big Four firm serving the Professional and Financial services industry including both private and public companies from a tax compliance and consulting nature as well as leading technology initiatives.

When asked why Dave does what he does, he replies “because there must be a better way”. Dave brings passion and imagination to develop better tax solutions.

Jerry is a Tax Partner in the Private Equity Fund tax group in the New York office, with over 26 years of public accounting experience. Jerry has extensive tax experience in compliance and tax consulting issues of Private Equity funds. Jerry also has a great deal of general tax compliance background in partnership, other pass-through entities, corporations and individual tax planning. Jerry is the National Financial Service Tax Industry Leader and a firm lead tax expert in Private Equity Funds, Small Business Investment Companies Funds, Venture Capital Funds. Jerry serves clients in all financial services in entities which allows him to work with a variety of other industries including, business services and international companies.  Jerry works closely with the Investment Fund CFOs and Finance Directors to provide expertise and experience in tax planning and tax advisory services. Jerry is actively involved in current and updated legislative tax issues affecting Private Equity Funds and other alternative investment vehicles. Jerry has been published and interviewed by PE tax periodicals and often called upon for advice on PE tax issues across the firm.
